1. Acceptance of These Terms
These Terms of Service govern the use of this website and the consulting services provided by Faraz Luni MD Consulting PLLC, a professional limited liability company located at 732 E Southfork Dr, Draper - 84020-8551, United States (US). By visiting this website, sending a message through the contact form, booking an intake conversation or engaging the practice for any consulting track, you agree to these terms.
If you do not agree with these terms, please do not use the website and do not book an engagement. If you are accepting these terms on behalf of an institution, a program or a practice group, you confirm that you have the authority to bind that organization, and the words you and your in these terms refer to both you personally and to that organization.
These terms should be read together with the Privacy Policy published on this website. The Privacy Policy explains how personal information is handled, and it forms part of the agreement between you and the practice. Where the two documents address the same topic, the Privacy Policy governs questions about personal information and these terms govern everything else.
A separate written engagement agreement may be signed for larger engagements. Where such an agreement exists, it takes priority over these terms for that engagement, and these terms continue to apply to everything the engagement agreement does not address.
2. Definitions
The following definitions are used throughout these terms. The practice means Faraz Luni MD Consulting PLLC and the consultant working on an engagement. The consultant means the physician who delivers the services, who is the principal of the practice. The client means the person or organization that books an engagement and, where relevant, the individual clinician who attends the sessions.
The website means every page served under the domain associated with this practice, including the home page, the services page, the contact page, the privacy page and this page. The services means the consulting tracks described on the services page and any related work agreed in writing. Sessions means live meetings, whether in the consulting room or by video.
Review material means charts, study plans, rubrics, calendars, recordings and other documents that a client shares with the practice for the purpose of a session. Consulting note means the written note that the practice produces at the close of an engagement or a block, recording what was observed, what was agreed and what comes next.
3. The Consulting Services
The practice provides physician consulting in six tracks: clinical skills intensives, chart review coaching, board exam prep blocks, case conference evenings, procedure video reviews and study plan audits. Each track is described in detail on the services page. The description on that page is a summary, and the exact scope of any engagement is agreed in writing before the first session.
The practice delivers the services with reasonable skill and care, using the professional judgment of the consultant. The practice does not guarantee any particular outcome, score, examination result, assessment decision, promotion or employment opportunity. Coaching can improve the clarity of reasoning and the quality of preparation, but the result always depends on the effort and circumstances of the client.
The practice reserves the right to decline an engagement, to suggest a different track where the requested track does not fit the stated goal, and to end an engagement where the working relationship is no longer productive. Declining or ending an engagement does not create any obligation beyond the refund of fees for work not yet delivered.
4. Educational Purpose Only
Everything provided by the practice is educational and professional in nature. The practice does not provide medical care to any person through this website or through any engagement. No clinician and patient relationship is created between the practice and any person who reads this website or attends a session. The practice does not diagnose, treat, prescribe for or manage the care of any patient.
When the practice reviews a chart or a recording, the review is a review of the reasoning and documentation of the clinician. It is not a second clinical opinion about the person described in the record, and it must not be relied on as one. The clinician remains fully responsible for the care they deliver, for the decisions they make and for compliance with the rules of their own institution and licensing body.
Material offered during coaching reflects general professional experience and publicly available guidance. It is not tailored legal, billing, compliance or regulatory advice. Clients who need advice of that kind should consult a qualified professional in the relevant field, and the practice is glad to say so plainly rather than blur the boundary.
In an emergency, the practice is not an appropriate point of contact. Anyone needing urgent help should use the emergency services of their own country. The consultation telephone number +17248748339 is for business correspondence about consulting engagements only.
5. Eligibility and Conduct
The website and the services are intended for adults who work in clinical, educational or technical professions. By using the website or booking an engagement, you confirm that you are at least eighteen years old and that you have the legal capacity to enter into an agreement.
You agree to provide accurate information when you contact the practice, when you complete an intake and when you share material for review. You agree not to impersonate another person, not to misrepresent your qualifications and not to use the services for any purpose that is unlawful or that would harm another person.
You are responsible for keeping your own correspondence secure. If you believe that someone else has gained access to your email account or to a file transfer link that you used to send material to the practice, tell the practice immediately so that the relevant files can be withdrawn and the engagement adjusted.
6. Booking and Scheduling
An engagement begins when the practice confirms an intake slot in writing, usually by email reply to your inquiry. A slot is held for the time stated in that reply and is released if the intake is not confirmed within that window. Confirmation normally requires a reply accepting the proposed date and time and, where applicable, payment of the first invoice.
Sessions are scheduled in Mountain Time unless another time zone is agreed in writing. The practice will state the time zone explicitly in every confirmation to avoid confusion. Video sessions use a link sent shortly before the session, and in person sessions take place in the consulting room at 732 E Southfork Dr, Draper - 84020-8551, United States (US).
The practice keeps a small client list on purpose, so availability can be limited. If a requested date is not available, the practice will offer the nearest alternatives rather than a waiting list with no date attached. Clients who need a fixed recurring slot for a program cohort should say so at intake, because recurring slots are arranged separately.
7. Fees and Payment
Fees are quoted in writing before an engagement is confirmed. The quote states the track, the number of sessions, the duration of each session and the total fee. For open ended work, such as a series of procedure video reviews, the quote states the fee per session or per block so that the client can see how costs accumulate.
Unless the quote states otherwise, payment is due before the first session of a block. Invoices are issued by email and can be paid by the methods listed on the invoice. Fees are stated in United States dollars. Any bank charge, transfer fee or currency conversion cost is the responsibility of the client.
Clients who are late with payment may have sessions paused until the balance is settled. The practice will always send a reminder before pausing anything, and will not charge a late fee unless the quote says that one applies. Fees do not change during a confirmed block, even if the practice later raises its rates for new clients.
Where a client requires an institutional purchase order or a specific invoicing format, that should be raised at intake so that the paperwork can be arranged before the work begins. The practice is happy to work with reasonable institutional requirements.
8. Rescheduling and Cancellation
A session may be rescheduled without charge if notice is given at least forty eight hours before the scheduled start. Notice should be sent by email to training@farazlunimd.lol so that there is a written record. The practice will offer alternative dates within the following thirty days where capacity allows.
A session cancelled with less than forty eight hours of notice may be charged in full, because the slot was held for the client and could not be offered to anyone else. The practice applies this rule with judgment rather than mechanically. Where the cancellation is caused by an emergency or an unavoidable clinical duty, the practice will normally waive the charge and rearrange the session.
If the practice needs to reschedule a session, notice will be given as early as possible, and the session will be moved to a date that suits the client at no additional charge. If a suitable date cannot be found, the fee for that session will be refunded in full. Sessions missed by the client without any notice are treated as cancelled at short notice.
9. Client Responsibilities
The client is responsible for obtaining any consent needed before sharing material with the practice. This includes consent from the institution that owns the record, from any colleague who appears in a recording and from any person whose information appears in a chart. The practice requires that charts be de-identified before they are shared, and may return material that is not de-identified without reviewing it.
The client is responsible for the accuracy of the information shared. If a study plan, a calendar or a performance record is out of date, the coaching will be based on an out of date picture, and the result will be less useful. Clients are asked to check dates and figures before an intake so that the first session does not have to be spent correcting them.
The client is responsible for the environment in which a remote session takes place. Sessions should be held somewhere private, with a stable connection and without interruption. If a session is interrupted, the practice will try to recover the remaining time, but cannot guarantee that the full slot will be available again on the same day.
The client is responsible for acting on the plan. The practice provides coaching, written notes and drills, but it cannot do the practice. Progress depends on the client carrying out the work between sessions, and the practice will say plainly when it appears that the work is not being done, because that is part of an honest consulting relationship.
10. Confidentiality
The practice treats everything a client shares as confidential professional information. Access is limited to the consultant working on the engagement. Material is not shown to other clients, is not quoted in general marketing and is not discussed outside the practice except where the client gives written permission or where disclosure is required by law.
Case conference evenings involve a small group, and the confidentiality of the group depends on every participant. Presenters agree in writing to the material that may be discussed in the group. Participants are asked to keep what they hear in the group confidential and to refrain from recording the session. The practice does not record case conferences.
Confidentiality survives the end of an engagement. The practice keeps consulting notes for the retention period described in the Privacy Policy and continues to treat them as confidential throughout that period. Review material is returned or destroyed at the close of the engagement according to the choice recorded at intake.
Certain disclosures cannot be prevented. If the practice is ordered by a court to produce a record, or if disclosure is necessary to prevent serious harm, the practice may disclose the minimum needed and will tell the client where it is lawful and practical to do so.
11. Intellectual Property
The text, layout, design and code of this website belong to Faraz Luni MD Consulting PLLC. You may read the website, print a page for your own reference and link to it, but you may not copy substantial parts of it, republish it as your own or use it to build a competing product without written permission.
The teaching materials, rubrics, checklists and templates that the practice uses during an engagement remain the property of the practice. Clients receive a personal, non-transferable licence to use those materials for their own professional development. Materials may not be resold, published, shared with a commercial training provider or used to run paid workshops without written permission.
The consulting notes and study plans written for a specific client belong to that client for their own use. The client may share a note with a mentor, a program director or a supervisor. The practice retains a copy for its records and for the retention period described in the Privacy Policy.
Review material shared by a client remains the property of the client or of the institution that owns it. The practice claims no ownership over charts, recordings or study plans supplied by a client and uses them only for the purpose of the engagement.
12. Acceptable Use
You agree to use the website and the services only for lawful purposes. You agree not to attempt to gain unauthorized access to the website, not to interfere with its availability, not to scrape it at volume and not to introduce malicious code or harmful material into any communication with the practice.
You agree not to use the services to seek help with cheating on an examination, to obtain answers for a live assessment, to fabricate credentials or to present someone else work as your own. The practice coaches preparation and reasoning; it does not supply answers for a test in progress. Requests of that kind will be declined.
You agree not to record a session without the written permission of the practice. Video sessions may be recorded by the practice only with written consent, and the same standard applies in reverse. If a recording is made with consent, it is treated as review material and is subject to the retention rules described in the Privacy Policy.
You agree not to use the practice to harass, threaten or defame any person. The practice may end an engagement without refund where a client behaves abusively toward the consultant or toward other participants in a group session.
13. Third Party Services
The website and the services rely on a small number of third party services, including email delivery, website hosting, video conferencing and secure file transfer. These services are provided by other organizations and are subject to their own terms and privacy notices. The practice chooses them with care but does not control them.
Where a link on this website points to another organization, the link is provided for convenience and does not imply endorsement of that organization or of its content. The practice is not responsible for the accuracy or availability of an external page.
If a third party service experiences an outage, a session may need to be moved or delivered by another method. The practice will contact affected clients as soon as the problem is known and will rearrange the session without charge. Outages are not treated as a cancellation by either side.
14. Disclaimers
The website and the services are provided on an as available basis. The practice works hard to keep the website accurate and available, but it does not warrant that the website will be free of errors, interruptions or omissions, or that every statement on it will remain current indefinitely. The practice may correct or update content at any time.
The practice does not warrant any specific educational outcome, examination result or professional consequence. Coaching is a collaborative activity, and its value depends on the effort, preparation and circumstances of the client. Any example, anecdote or general statement on this website describes experience rather than a promise of a similar result.
To the fullest extent permitted by law, the practice disclaims all implied warranties, including any implied warranty of merchantability, fitness for a particular purpose and non-infringement. Nothing in these terms limits any warranty that cannot be excluded under applicable law.
15. Limitation of Liability
To the fullest extent permitted by law, Faraz Luni MD Consulting PLLC will not be liable for any indirect, incidental, special, consequential or punitive loss arising out of or in connection with the website or the services. This includes lost profits, lost opportunities, lost examination fees, loss of goodwill and any loss arising from a decision made by a client or by an institution after an engagement.
The total liability of the practice for any claim arising out of an engagement is limited to the amount of fees actually paid by the client for the engagement giving rise to the claim. Where no fee was paid, for example because a consultation was provided at no charge, the total liability is limited to one hundred United States dollars.
These limits apply regardless of the form of the claim, whether in contract, tort, statute or otherwise, and they apply even if the practice has been advised of the possibility of the loss. Nothing in this section limits liability for fraud, for willful misconduct or for any other liability that cannot be limited under applicable law.
The parties agree that these limits are a reasonable allocation of risk given the educational nature of the services and the size of the fees. Without them, the practice could not offer the services at the current rates.
16. Indemnification
You agree to indemnify and hold harmless Faraz Luni MD Consulting PLLC, its principal and its contractors from any claim, loss, liability, cost or expense, including reasonable legal fees, arising out of your breach of these terms, your misuse of the website or the services, or your failure to obtain the consents described in the client responsibilities section.
This includes claims brought by a patient, a colleague or an institution in connection with material that you shared without proper consent. The practice will notify you promptly of any claim that falls within this section and will cooperate in the defense, at your expense, in a reasonable manner.
The practice reserves the right to assume the defense of any matter that affects it, in which case you agree to cooperate and to reimburse the reasonable costs of that defense. This section survives the end of an engagement and the termination of these terms.
17. Termination
Either party may end an engagement by giving written notice. If the client ends an engagement, fees are due for sessions already delivered and for sessions cancelled at short notice, and any fee paid for sessions not yet delivered is refunded within thirty days. If the practice ends an engagement for reasons other than client misconduct, the same refund applies and the practice will help the client find an alternative where it can.
The practice may end an engagement immediately and without refund where a client behaves abusively, shares material without consent after being asked to stop, uses the services for an unlawful purpose or attempts to record a session without permission. The practice will say in writing why the engagement is ending, except where doing so would itself be unsafe.
On termination, the practice returns or destroys review material according to the choice recorded at intake, keeps the consulting notes for the retention period described in the Privacy Policy, and closes the engagement record with a short note recording that the engagement ended. The confidentiality obligations in these terms continue after termination.
18. Governing Law and Disputes
These terms are governed by the laws of the State of Utah, United States of America, without regard to conflict of law rules. The parties agree to the exclusive jurisdiction of the state and federal courts located in Utah for any dispute that cannot be resolved informally.
Before starting a formal claim, the parties agree to try to resolve the matter informally. A written notice describing the dispute should be sent by email to training@farazlunimd.lol, and the practice will reply within fifteen business days. The parties will then make a genuine attempt to settle the matter within thirty days of that reply.
If informal resolution fails, either party may bring a claim in the courts identified above. Nothing in this section prevents either party from seeking urgent relief from a court where that is necessary to protect a right, and nothing requires a party to attempt informal resolution where the other party has already acted in bad faith.
Each party waives any right to bring a claim as part of a class action or representative proceeding to the extent that the law allows. If any part of this section is found unenforceable, the remainder of the section continues to apply.
19. Changes to These Terms
The practice may update these terms from time to time to reflect changes in the services, the law or the way the website operates. The current version is always the one published on this page, and it carries an effective date at the foot of the page.
When a change is material, clients with an active engagement will be told by email before the change takes effect. Continuing an engagement after the effective date indicates acceptance of the revised terms for that engagement. Small clarifications may be made without a separate notice where they do not change the substance of the agreement.
If a change is not acceptable to a client, the client may end the engagement under the termination section, and the fees for sessions not yet delivered will be refunded. The practice aims to keep these terms readable as well as complete, so that clients can actually understand what they are agreeing to.
These terms, together with the Privacy Policy and any separate engagement agreement, form the entire agreement between the parties on the subject of the consulting services and replace any earlier discussion or representation on that subject.
